1. Acceptance of Terms
These Terms of Use (“Terms”), together with the KODIS Privacy Policy, govern your access to and use of the public-facing websites owned or operated by KODIS Holdings and its subsidiaries, KODIS Transportation, STANDARD Freight Logistics, SOLVR Logistics, and EMPIRE Freight Logistics (collectively, the “Sites”).
By accessing or using the Sites, you agree to be bound by these Terms. If you do not agree, please discontinue such use immediately.
2. Definitions
“Sites” refers to all websites operated by KODIS Holdings and its affiliated companies (also, collectively, “we,” “our,” “us” or “KODIS”).
“User” (including “you”) refers to any individual accessing or interacting with any of the Sites.
3. Use of the Sites
You agree to use the Sites only for lawful purposes and in compliance with all applicable laws and regulations. You may not use any robot, spider, or other automatic device, process, or similar means to access or extract information from any Site. You may not use any Site to or access thereto in order to:
- Attempt to gain unauthorized access to systems or data;
- Upload or distribute any virus, malware, ransomware, spam, or other malicious code;
- Upload, distribute or otherwise disseminate any communication, content or information which is abusive, defamatory, obscene, threatening, infringing of proprietary rights, invasive of privacy or publicity rights or otherwise illegal; or
- Interfere with or disrupt the functionality of the Sites.
Access to any client portal maintained or operated by or on behalf of KODIS is limited to authorized users acting under separate client agreements.
4. User Submission
If you submit any message or other content to or through any Site, you hereby authorize and grant to KODIS a perpetual, irrevocable, royalty-free, worldwide right and license to copy, display, reproduce, use, modify, create derivatives of and distribute same.
5. Intellectual Property
All content on the Sites — including text, graphics, logos, design elements, and software — is owned by or licensed to KODIS and protected by intellectual property laws. You may view or print Content solely for purposes of receiving information from or interacting with KODIS. Any other use requires prior written permission from KODIS.
6. Accuracy of Information
We make reasonable efforts to present accurate information on our Sites but make no warranties or representations about its completeness, accuracy or reliability. Information on our Sites may change without notice.

Our Sites may contain links to third-party websites for your convenience. We do not control or endorse, and are not responsible for, the content, security or privacy practices of those websites.

The Sites and all content and information on the Sites are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. We do not guarantee that the Sites will be error-free, secure, or uninterrupted.
9. Limitation of Liability
To the fullest extent permitted by law, you acknowledge that KODIS Holdings and its affiliates shall not be liable for any indirect, incidental, exemplary, punitive or consequential damages arising or resulting from your use or inability to use the Sites or reliance on any content or information on the Sites or, under any circumstances, for any amount exceeding the lesser of the fees paid by you for access to or use of the Sites during the three (3) months preceding the event first giving rise to your claim and five hundred dollars ($500), regardless of the alleged basis or theory of liability.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to any conflict-of-law principles. Any claim, dispute or action regarding the Sites, content or information on the Sites or your use of or attempt to use same may be brought by you only in a state or federal court sitting in Cuyahoga County, Ohio and you hereby agree to the personal jurisdiction of such courts and waive any objection to venue therein.
11. Changes to These Terms
We may revise these Terms from time to time by posting updates hereof on our Sites. Use of any Site after such updates are posted constitutes your acceptance of the revised Terms.
